1. Introduction

Welcome to Bright Byte Solution L.L.C ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and products. By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our services.

4. Payment Terms

Pricing: All prices are listed in USD and are subject to change without notice. Current pricing tiers include:

• Starter Package: From $1,500 per project
• Professional Package: From $3,500 per project
• Enterprise Package: Custom pricing (contact for quote)
• Consulting Services: From $200 per hour

Payment Schedule: Payment terms will be outlined in individual project agreements. Typically:

• 50% deposit required before project commencement
• Remaining 50% due upon project completion and delivery
• Enterprise projects may have custom milestone-based payment schedules

Late Payments: Invoices are due within 30 days of issuance. Late payments may incur a fee of 1.5% per month or the maximum allowed by law, whichever is less.

5. Intellectual Property Rights

Client Ownership: Upon full payment, clients receive ownership of the final deliverables created specifically for their project, excluding any pre-existing components, tools, or frameworks.

Company Retention: Bright Byte Solution retains ownership of:

• Proprietary methodologies, frameworks, and tools
• Pre-existing code libraries and templates
• General knowledge and experience gained

Portfolio Rights: Unless otherwise agreed in writing, Bright Byte Solution reserves the right to showcase completed projects in our portfolio and marketing materials.

6. Confidentiality

We respect the confidentiality of your business information. All proprietary information, data, and trade secrets shared during our engagement will be kept confidential and used solely for the purpose of delivering our services. We may require a separate Non-Disclosure Agreement (NDA) for sensitive projects.

7. Project Timeline and Deliverables

Timelines: Project timelines are estimates and may be subject to change based on project complexity, client responsiveness, and unforeseen circumstances.

Client Cooperation: Timely delivery depends on client cooperation, including:

• Providing required information and materials
• Timely feedback on deliverables
• Availability for scheduled meetings and reviews

Delays: Bright Byte Solution is not liable for delays caused by client inaction, third-party services, or force majeure events.

8. Revisions and Scope Changes

Included Revisions: Each package includes a specified number of revision rounds:

• Starter: 1 revision round
• Professional: 3 revision rounds
• Enterprise: Unlimited revisions (within project scope)

Scope Changes: Changes to the original project scope may require additional fees and timeline adjustments. All scope changes must be documented and agreed upon in writing.

9. Warranties and Disclaimers

Service Warranty: We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards.

Disclaimer: EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

No Guarantee of Results: While we strive for excellence, we do not guarantee specific business outcomes, revenue increases, or performance metrics unless explicitly stated in a separate agreement.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIGHT BYTE SOLUTION L.L.C SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY CLIENT FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM.

11. Termination

By Client: Clients may terminate services with 30 days written notice. Clients are responsible for payment of all work completed up to the termination date.

By Company: We reserve the right to terminate services immediately if:

• Client fails to make payment within 60 days of invoice
• Client breaches these Terms
• Client engages in abusive or threatening behavior

Effect of Termination: Upon termination, client must pay for all services rendered through the termination date. All deliverables completed and paid for will be provided to the client.

12. Indemnification

Client agrees to indemnify, defend, and hold harmless Bright Byte Solution L.L.C, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) Client's use of our services; (b) Client's violation of these Terms; (c) Client's violation of any rights of another party; or (d) Client's content or data.

13. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, United States, without regard to its conflict of law provisions.

Dispute Resolution: Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Grand Rapids, Michigan.

Jurisdiction: You agree to submit to the personal and exclusive jurisdiction of the courts located within Kent County, Michigan.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website with an updated "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms. We encourage you to review these Terms periodically.
